1. Acceptance of Terms

By accessing arthamatrix.com or arthamatrix.in, purchasing or renewing a licence, downloading, installing or using our software, you agree to these Terms and Conditions, our Privacy Policy and our Refund and Cancellation Policy.

2. About the Software

ArthaMatrix provides a desktop software application designed to assist users in generating financial statements in the format applicable to NCEs from accounting data, including data derived from Tally.

The software is an assistance tool only. It does not provide audit assurance, certification, accounting advice, tax advice, legal advice or any guarantee of acceptance by any authority, bank, auditor or other person.

You remain responsible for reviewing and verifying all outputs before relying upon or issuing them.

3. Licence and Renewal

Upon successful payment, ArthaMatrix grants you a limited, non-exclusive, non-transferable licence to use the software for the period and within the limits of the plan purchased.

Licences are valid for one year unless otherwise stated at the time of purchase.

Licences do not renew automatically. You must purchase renewal for continued use after expiry.

4. Permitted Use

You may use the software for your own business or professional purposes, including authorised work for your clients.

You shall not:

• share your licence key or access with unauthorised persons;
• copy, resell, sublicense, reverse engineer or distribute the software;
• bypass licence or security controls;
• use the software for fraudulent, misleading or unlawful purposes;
• process any client or third-party data without proper authority.

5. Customer Data

All accounting data used in the desktop application remains under your control and is processed locally on your computer.

You are responsible for:

• the accuracy and completeness of data imported into the software;
• maintaining backups of your data and generated reports;
• ensuring authority to process client or third-party data;
• independently verifying final financial statements and disclosures.

6. Fees, Taxes and Payments

Licence fees and renewal charges will be displayed on the website or communicated before purchase.

Applicable GST and other taxes will be charged in accordance with law. You are responsible for providing correct billing and GSTIN details.

A licence will ordinarily be activated only after successful payment confirmation.

7. Updates and Compatibility

We may provide updates, corrections or modifications to the software from time to time.

The software may depend on compatibility with Tally or other third-party software. We do not guarantee uninterrupted compatibility where a third party changes its product, format or functionality.

8. Intellectual Property

All rights in the website, software, source code, design, templates, documentation, logo and branding belong to ArthaMatrix or its licensors.

“Tally” and all other third-party trademarks belong to their respective owners. Reference to such software is for compatibility purposes only and does not imply endorsement, affiliation or sponsorship.

9. Disclaimer and Limitation of Liability

The software is provided on an “as available” basis. While we endeavour to provide accurate and functional software, we do not guarantee error-free operation or the correctness of reports without user review.

To the extent permitted by law, ArthaMatrix shall not be liable for losses arising from:

• incorrect or incomplete accounting data;
• failure to review generated financial statements;
• professional or regulatory reliance on unverified outputs;
• loss of locally stored customer data;
• interruption or incompatibility caused by third-party software.

Subject to applicable law, our total liability relating to a licence shall not exceed the amount paid by you for that licence.

10. Suspension or Termination

We may suspend or terminate a licence for non-payment, unauthorised sharing, misuse, breach of these Terms, security concerns or unlawful activity.

Termination due to your breach will not entitle you to a refund.

11. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Subject to rights available under applicable consumer protection law, courts at Kota, Rajasthan shall have jurisdiction over disputes relating to the website or software.
